These Terms of Service ("Terms") govern access to and use of DetailerBase (the "Service"), a B2B SaaS platform offered by WCAP Detailing Inc. ("DetailerBase," "we," "us," "our").

By creating an account, accessing, or using the Service, you agree to these Terms.
1) Who may use the Service
The Service is for businesses (B2B) only. You represent that you are using the Service on behalf of a business and have authority to bind that business.
2) The Service
DetailerBase provides tools such as scheduling, customer management, public booking, reminders/follow-ups, customer portal access, media uploads, and other related features. Features may change over time.
We provide integration with Stripe Connect ("Stripe") to enable you to accept payments directly from your customers. In this capacity, DetailerBase acts solely as a technology provider and interface. We are not a payment processor, bank, or money transmitter.
Recurring & Fleet Services: The Service allows you to schedule recurring jobs and batch bookings for fleet accounts. You acknowledge that future recurring bookings are generated based on current availability and settings, and subject to change if conflicts arise.
2b) Payment Processing & Merchant of Record
By connecting your Stripe account to DetailerBase:
- Merchant of Record: You (the Business) act as the Merchant of Record for all transactions with your customers. You are solely responsible for determining, collecting, and remitting applicable taxes.
- Stripe Agreements: Your use of payment processing is subject to the Stripe Connected Account Agreement, which includes the Stripe Services Agreement. By using the Service, you agree to be bound by these terms.
- Liability: You are fully responsible for all refunds, chargebacks, disputes, penalties, and fraud associated with your account. DetailerBase is not a party to the transactions between you and your customers and assumes no liability for them.
- Stripe Actions (High Risk/Reserves): We are not liable for any actions taken by Stripe, including but not limited to account suspensions, payout holds, rolling reserves, or termination of your Stripe account due to "High Risk" classification or violation of their terms. You acknowledge that Stripe has sole discretion over these actions.
- Fees: Stripe's processing fees and any applicable DetailerBase application fees will be deducted automatically from your transactions.
3) Accounts, security, and verification
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. We may require and enforce email and phone verification for security, abuse prevention, and compliance. While we use industry-standard protections, no system is 100% secure; you assume risk for unauthorized access resulting from compromised credentials.
4) Subscription, trial, grace, and access states
DetailerBase is a paid SaaS product.
- Trial: First 5 bookings free, no card required to start.
- Grace: 7 days after trial ends with read-only access (you can view/export data, but core write actions are restricted).
- Locked: after grace ends, workspace access is locked until payment is active.
- Active: paid subscription is in good standing.
We may adjust how access is enforced for certain public pages (like booking) to prevent abuse and protect your customers.
5) Pricing, taxes, refunds, cancellation
- Main plan: $39.99 USD/month + applicable taxes (as shown in-app).
- Optional add-ons: (e.g., SMS) may be offered separately and are subject to additional rules and compliance review.
Refunds: No refunds.
Cancellation: You can cancel anytime; you'll keep access until the end of the billing period (unless restricted due to non-payment/fraud/abuse). Billing is handled through Stripe.
5b) Referral & Affiliate Programs
DetailerBase offers optional growth programs that allow users and approved partners to earn rewards.
Referral Program ("Give a Month, Get a Month")
- Eligible users may generate a unique referral link from within their account.
- When a new user subscribes using the link, the new user receives 100% off their first month via an automatic coupon.
- The referrer receives a one-time credit equal to one month's subscription fee, applied to their Stripe customer balance after the referred user's first paid invoice.
Affiliate Program
- Approved affiliates earn a 20% recurring commission on payments made by referred users for up to 12 months from the date of the first qualifying payment.
- Commission payments stop immediately if the referred user cancels or otherwise terminates their subscription before the 12-month period ends.
- Payouts are made via Stripe Connect to the affiliate's connected bank account. Affiliates are responsible for all applicable taxes on earnings.
- Affiliate accounts must be approved by DetailerBase. We may reject, suspend, or terminate any affiliate at our discretion.
General Program Terms
- Self-Referral Prohibition: Users may not refer themselves. Fraudulent referrals (including those created using multiple accounts, fake identities, or bots) will result in forfeiture of all pending and future rewards, and may result in account termination.
- Program Modification: We reserve the right to modify commission rates, eligibility requirements, or terminate these programs at any time with reasonable notice.
- No Guarantees: Referral and affiliate rewards are provided at our discretion. We may withhold or claw back rewards if we reasonably suspect fraud or abuse.
6) Customer communications (email/SMS) and compliance
You are responsible for how you use email/SMS features and for obtaining appropriate consent from your customers.
You agree that you will not:
- send messages without appropriate consent,
- send spam or deceptive content,
- violate anti-spam or telemarketing laws (including CASL (Canada), CAN-SPAM (US), TCPA (US) and other applicable rules),
- ignore opt-out requests.
We may suspend or restrict messaging to protect recipients and our deliverability/reputation. CASL requires specific sender identification and an unsubscribe mechanism in commercial electronic messages.
7) Fair use, abuse prevention, and throttling
The Service includes anti-abuse controls (rate limits, deduplication, quiet hours and similar protections). We may limit, throttle, or temporarily disable sending to prevent harm or misuse. Details are described in our Fair Use Policy.
8) Customer data, uploads, and your responsibilities
You and your customers may upload content (including photos and notes). You retain ownership of your content. You grant us a limited license to host, store, process, and display your content solely to operate and improve the Service.
You are responsible for:
- ensuring you have the rights to upload content,
- avoiding illegal/unsafe content,
- handling sensitive personal data responsibly,
- using private/public file settings appropriately (if available in your configuration).
9) Subprocessors and third-party services
We use third parties to provide the Service (e.g., hosting, email, SMS verification/delivery, billing, storage, error monitoring). A current list is in our Privacy Policy.
10) Confidentiality
You agree not to access or attempt to access other tenants' data, reverse engineer the Service, or bypass access controls.
11) Availability; changes to the Service
We strive for high availability but do not guarantee uninterrupted operation. We may modify or discontinue parts of the Service.
12) Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be 100% secure, uninterrupted, or error-free.
13) Limitation of liability
To the fullest extent permitted by law:
- We are not liable for indirect, incidental, special, consequential, or punitive damages.
- We are not liable for any payment disputes, chargebacks, held funds, or financial losses associated with your use of Stripe Connect.
- Our total liability in any 12-month period is limited to the amounts you paid us for the Service in that period.
14) Indemnification
You will indemnify and hold us harmless from claims arising from your use of the Service, your content, your communications with your customers (including email/SMS compliance), or any data loss resulting from account termination or the deletion process.
15) Termination & Deletion
You may stop using the Service at any time. We may suspend/terminate accounts for violations, abuse, non-payment, or security concerns.
Deletion Process: When you request account deletion, your workspace enters a strict 30-day deactivation period. During this time, access is revoked, public pages are offline, and communications are blocked, but data is preserved to allow for accidental deletion recovery. After 30 days, your proprietary data (customers, bookings, files) is permanently purged. We retain minimal non-PII records (invoice IDs, consent logs) for 7 years solely for tax and legal compliance.
16) Governing law
These Terms are governed by the laws of Nova Scotia and the federal laws of Canada applicable therein, without regard to conflicts of law rules.
